These Terms of Service ("Terms") govern access to and use of the websites, applications, and services provided by CPAgents, Inc. ("CPAgents," "we," "us"). By using the site or the service, you agree to these Terms. If you use the service on behalf of a firm or company, you represent that you have authority to bind that entity, and "you" refers to that entity. If a separate signed agreement exists between your organization and CPAgents, that agreement controls where it conflicts with these Terms.
CPAgents provides accounting automation software. Ruby, our agent, connects to accounting ledgers through authorized connections, codes transactions against a firm-scoped rulebook, routes items for review, and maintains an audit trail of every action. The service is a tool for accounting professionals and businesses; it operates under human review and approval controls.
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to provide accurate information, to keep it current, and to notify us promptly of any unauthorized use. We may suspend access to protect the service or its users.
Connecting a ledger to the service requires authorization through the ledger provider (for example, an authorized QuickBooks Online connection). You represent that you are entitled to authorize that connection for the data involved, including, for firms, that you are authorized to act with respect to your clients' ledgers. You may revoke a connection at any time through the service or the ledger provider.
As between you and CPAgents, you retain all rights in the ledger data and other content you submit to the service. You grant us the rights needed to operate the service on that data. Our collection and use of information is described in our Privacy Policy. One firm's rulebook and data are never made available to another customer.
The service, including its software, design, and content, is owned by CPAgents and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the service as intended for your internal business purposes. You may not copy, modify, reverse engineer, resell, or create derivative works from the service except as permitted by law.
You agree not to misuse the service, including by attempting to access another customer's data, probing or circumventing security controls, interfering with the operation of the service, submitting unlawful content, or using the service to violate any law or third-party right.
Paid features are billed as described at purchase or in an applicable order form. Except where required by law or expressly stated, fees are non-refundable.
The service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any output is accurate or complete; outputs are drafts subject to professional review as described above.
To the fullest extent permitted by law, CPAgents will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, arising from or related to the service. Our total liability for any claim arising out of these Terms or the service will not exceed the amounts you paid to CPAgents for the service in the twelve months before the event giving rise to the claim, or one hundred dollars if you have paid nothing.
You will defend and indemnify CPAgents against claims arising from your content, your use of the service in violation of these Terms, or your violation of law or third-party rights, including claims relating to your professional services to your own clients.
You may stop using the service at any time. We may suspend or terminate access for breach of these Terms or to protect the service. Sections that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, and indemnification, survive.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Delaware, and the parties consent to their jurisdiction.
We may update these Terms from time to time. If we make material changes, we will update this page and revise the date above. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.
